Indemnify （補償）とＰＬ責任

Indemnifyとは，「補償する」の意味で，つまり，現在すでに被っている損害と将来被ることが予測される損害を当事者のどちらが負担するかを定める条項です。

• Buyer[Seller] shall indemnify and hold Seller[Buyer] harmless from any and all liabilities, costs and expenses in connetion with claims by third parties regarding: any unlawful act by Buyer[Seller]; any failure by Buyer[Seller] to fulfill any of its obligations under the Agreement.

Indemnifyとhold harmlessは，セットで使われることが多いです。

これと併せて，ＰＬ責任（製造物責任）の規定の仕方が問題となることもあります。
上記の例文では， “in connetion with claims by third parties ”という文言が入っていますので，これをもってＰＬ責任を全て一方当事者に負わせることが可能になります。
もし，ＰＬ責任を負わせられる方であれば，この責任を限定するような記載にしてもらうことが大切です。
