不可抗力 Force Majeure

英米契約法には，日本法でいう不可抗力や大陸法でいうForce Majeureの概念がないので，契約の中で何も規定していなければ，非常に限られた場合を除いて不可抗力による免責は得られません。

ですから，英米法系の法律を準拠法とする場合，何らかの避けられない事情で契約上の義務を履行できない事態が生じた場合に債務不履行責任を免れるようにするためには，明確にForce Majeureの条項を設けて，予測される事態をできるだけ多く例示的に列挙しておく必要があります。

例えば，次のような感じで規定します。

Neither party shall be held liable for delay or failure to perform any of its obligations hereunder, if such delay or failure occurs because of force majeure including, but not limited to, acts of God, war, flood, volcanic eruption，...

一般に，Force majeureの例として挙げておくべきものは次のようなものです。

war, invasion, act of foreign enemies, act of public enemies, rebellion,insurrection, military or usreped power, civil war, riot, mobilization, commotion, civil commotion, disorder, act of God, fire, lightning, storm, tempest, flood, bursting or overflowing of water, earthquake, natural disaster, epidemic, explosion, shortage of transport, general shortage of material, strike, industrial action, arrest or restraint of princes, rulers or people, seizure under legal process, embargo, requisition, hostilities, quarantine restrictions, restrictions in the use of power, perils of the seas, pirates, assailing thieves, currency restrictions, tidal wave, washout, volcanic eruption, storm, tyhpoon, hurricane, tornado, fog, earthquake, landslide, subsidence of land, scarcity of water, drought, plague, breaking-off of diplomatic relations, revolution, coup d'etat, blockade...
